Terms for the optional AI-powered features.

This document is provided in English, which is the authoritative version; any translation is for convenience only and the English version prevails.
This document applies to the customer relationship management software-as-a-service platform, websites, applications, APIs, software, documentation, dashboards, reports, artificial intelligence features, support, and related services made available by SellioCRM, LLC, a limited liability company.
For purposes of this document, "SellioCRM," "Company," "we," "us," and "our" mean SellioCRM, LLC. "Customer," "you," and "your" mean the person or entity accessing or using the Services. If you access or use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and that organization is the Customer.
This document is incorporated into and forms part of the SellioCRM Terms of Service unless expressly stated otherwise.
These AI Features Terms apply to any artificial intelligence, machine learning, automated analysis, classification, scoring, summarization, recommendation, drafting, enrichment, prediction, content generation, or similar functionality made available through the Services.
1. Nature of AI Features
AI Features are designed to support CRM workflows, including lead and opportunity summaries, contact and company insights, task suggestions, email or message drafting, activity summaries, pipeline analysis, forecast assistance, data cleanup suggestions, classification, recommendations, and decision support.
AI Features do not replace professional judgment, legal advice, privacy advice, marketing compliance advice, employment advice, financial advice, accounting advice, sales strategy, or Customer review.
AI outputs are probabilistic and may be inaccurate, incomplete, inconsistent, outdated, biased, misleading, non-compliant, unsuitable, or not unique.
2. Human Review Required
Customer must independently review, validate, and approve all AI outputs before relying on them, using them in CRM records, sending them externally, or using them to make decisions.
Customer is solely responsible for decisions, actions, omissions, communications, campaigns, tasks, forecasts, recommendations, sales activities, compliance positions, and business outcomes based on AI outputs.
3. Inputs and Customer Content
Customer is responsible for all prompts, files, CRM records, contact data, emails, notes, tasks, instructions, context, and other inputs submitted to AI Features. Customer represents that it has the right to submit such inputs and that the inputs do not violate law, contract, confidentiality obligations, privacy obligations, intellectual property rights, or third-party rights.
Customer must not submit sensitive, regulated, restricted, or unnecessary personal data to AI Features unless permitted by the applicable agreement, covered by appropriate data protection terms, and necessary for the intended use.
Customer should redact, minimize, or pseudonymize sensitive information where feasible.
4. Outputs
Subject to the Terms of Service and applicable law, Customer may use AI outputs generated from Customer Content for Customer's internal business purposes and lawful external communications after human review.
SellioCRM does not guarantee uniqueness, exclusivity, copyrightability, accuracy, reliability, deliverability, conversion, legality, or suitability of AI outputs. Similar or identical outputs may be generated for other customers or users.
AI outputs may require further review for intellectual property, privacy, confidentiality, regulatory, employment, marketing, sales, and factual accuracy.
5. Prohibited Uses
Customer must not use AI Features to:
- violate law, regulation, contract, privacy rights, confidentiality rights, or intellectual property rights
- make final legal, regulatory, employment, credit, insurance, healthcare, housing, education, or similarly significant decisions about individuals without appropriate lawful basis and human review
- generate or facilitate phishing, spam, fraud, deception, impersonation, harassment, discriminatory content, unlawful profiling, or manipulative communications
- generate or facilitate malware, exploitation, unauthorized access, credential theft, or cyber abuse
- misrepresent the source, approval, or authority of AI outputs
- create or disseminate false, misleading, defamatory, discriminatory, or unlawful content
- infer sensitive personal attributes where prohibited by law or not necessary for the intended use
- reverse engineer, extract, copy, or reconstruct models, prompts, embeddings, training data, weights, system instructions, or non-public methods
- bypass provider restrictions, usage limits, safety controls, billing controls, or access controls
6. Third-Party AI Providers
AI Features may use third-party AI providers, model providers, infrastructure providers, vector database providers, embedding providers, transcription providers, enrichment providers, or other subprocessors. Customer authorizes SellioCRM to process inputs and outputs through such providers to provide the Services, subject to applicable data protection terms.
Third-party AI providers may impose their own technical, legal, content, safety, retention, usage, or rate limits. SellioCRM may change providers or disable AI Features as needed to operate, secure, or improve the Services.
7. Model Training and Service Improvement
SellioCRM will handle Customer Content used with AI Features as described in the Terms of Service, Privacy Policy, and Data Processing Addendum.
Unless otherwise stated in writing, SellioCRM does not use Customer Content to train third-party foundation models in a way that allows other customers to identify Customer or Customer Content. SellioCRM may use aggregated, de-identified, statistical, or operational data to improve, secure, monitor, and evaluate the Services.
8. AI Logs, Retention, and Infrastructure Charges
SellioCRM may log prompts, inputs, outputs, metadata, token usage, model usage, errors, latency, and related information to operate, secure, troubleshoot, audit, bill, prevent abuse, and improve AI Features.
AI Features may generate Infrastructure Charges based on provider fees, token usage, model calls, embeddings, vector storage, file processing, transcription, enrichment, or related AI resources. Customer is responsible for AI usage generated by Authorized Users, automations, integrations, and API calls.
9. No Warranties for AI Outputs
AI Features and AI outputs are provided "as is" and "as available". SellioCRM does not warrant that AI outputs will be accurate, complete, lawful, non-infringing, unbiased, current, unique, secure, suitable, deliverable, or effective.
10. Suspension or Restriction
SellioCRM may suspend, restrict, throttle, or disable AI Features or AI usage if Customer violates these Terms, exceeds usage limits, creates provider risk, creates Infrastructure Charges without payment, triggers abuse controls, or uses AI Features in a manner that creates legal, security, operational, privacy, safety, or reputational risk.
11. Relationship to Other Terms
These AI Features Terms supplement the Terms of Service, Acceptable Use Policy, Privacy Policy, Data Processing Addendum, and other applicable documents. If there is a conflict, the order of precedence in the Terms of Service applies.
